Welcome to Cozy AI! These Terms of Service (“Terms”) govern your access to and use of our website, products, and services (collectively, the “Service”). By accessing or using the Service, you agree to comply with and be bound by these Terms.

1. Acceptance of Terms

By accessing or using Cozy.ai, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy. If you do not agree, please do not use our Service.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Service. By using Cozy.ai, you represent and warrant that you meet these eligibility requirements.

3. Account Registration

To access certain features, you may need to create an account. You agree to:

• Provide accurate and complete information during registration.

• Maintain the security of your account credentials.

• Notify us immediately of any unauthorized use of your account.

4. Services Provided

Cozy.ai offers virtual staging solutions for real estate professionals. Our services include, but are not limited to, virtual furniture staging, photo editing, and interior design visualization.

5. User Content

5.1 You may insert or upload text, images, or other forms of content while using the Services (“Input”), and receive output such as text, images, or other forms of content generated and returned by the Services based on the Input (“Output”). Input and Output are collectively referred to as “Content”. As between the parties and to the extent permitted by applicable law and regulation, you own all the Content and are solely responsible for the Content.

5.2 Due to the nature of machine learning, Output may not be unique and Cozy.ai may generate similar output if the same or similar input and style templates are provided to the Services. No guarantees are made with respect to content quality and reliability. You are responsible for evaluating the appropriateness of Output for your specific use case.

6. Prohibited Conduct

You agree not to:

• Use the Service for any illegal or unauthorized purpose.

• Violate any laws in your jurisdiction.

• Infringe upon or violate our intellectual property rights or the intellectual property rights of others.

• Upload or transmit viruses or any other malicious code.

7. Payment and Subscription

7.1 Cozy.ai may invoice you for your use of the Services in accordance with the prices on the applicable pricing page, and Cozy.ai reserves the right to correct pricing errors or mistakes even if an invoice has been issued to you.

7.2 Cozy.ai may carry out promotional activities that may result in a discount on price. Due to the time-sensitive and promotional nature of such discounts, price matching after the promotion period and refunds for previous purchases are not available.

7.3 Your subscription may be canceled during its free-trial period at any time. Upon expiration of the free-trial period, Cozy.ai will charge the relevant subscription fee for the next billing cycle to your nominated payment method, unless canceled during the free-trial period.

7.4 You may subscribe on a weekly or yearly basis. Your subscription will automatically renew for recurring periods of the same duration unless you cancel through your App Marketplace account settings. If you unsubscribe and your refund is successful, we will reclaim the coins issued to you.

7.5 The Services may enable you to purchase in-app coin packs (“Coinspack”). Coinspacks may be redeemed for additional templates, features, or enhancements. All Coinspack purchases are final and non-refundable. Promotional codes (“Promotional Codes”) may be offered to extend free-trial periods. Promotional Codes have no cash value, are personal, non-transferable, and non-sublicensable. Cozy.ai has no obligation to provide compensation related to Promotional Codes.

7.6 You agree to provide complete and accurate billing information. You authorize Cozy.ai, its affiliates, and third-party payment processors to charge your payment method for invoiced fees. If payment fails, Cozy.ai may suspend access to the Services until payment is received. Payments are non-refundable except as expressly stated in these Terms.

8. Refund Policy

8.1 Web Version Service
For users accessing services via the Cozy.ai website (https://cozy.ai), we offer full refunds within 7 days if fewer than 10 photos have been uploaded. Refund eligibility is subject to verification and final approval. Full details are available at (https://cozy.ai/refund).

8.2 Mobile Application (App) Service
Refunds for subscriptions purchased through the Cozy.ai mobile application (iOS or Android) are governed exclusively by Apple App Store or Google Play policies. Refund requests must be submitted directly through the respective platform.

9. Commercial Usage Rights

Upon subscribing, you are granted a non-exclusive, non-transferable, worldwide license to use AI-generated photos produced through the Service for commercial purposes, including publication on listing websites and resale to clients.

10. API Customers

Subject to compliance with these Terms and applicable subscription level, Cozy.ai grants you a non-exclusive, non-transferable, non-sublicensable license to use its APIs and related documentation. API access may require approval at Cozy.ai’s discretion. We reserve the right to revoke API access if an integration violates these Terms.

11. Termination

We may suspend or terminate your account and access to the Service at our sole discretion, without notice, for violations of these Terms or conduct harmful to other users, Cozy.ai, or third parties.

12. Disclaimers

The Service is provided on an “as is” and “as available” basis. Cozy.ai disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the fullest extent permitted by law, Cozy.ai shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising from:

• Use or inability to use the Service.

• Unauthorized access to servers or stored information.

14. Indemnification

You agree to indemnify and hold harmless Cozy.ai and its affiliates, officers, agents, and employees from any claims arising out of your breach of these Terms or violation of applicable law.

15. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

16. Changes to Terms

We may modify these Terms at any time. Material changes will be posted on our website with an updated “Last Updated” date. Continued use of the Service constitutes acceptance of the revised Terms.
